SOCIETY OF PETROLEUM ENGINEERS

IRELAND SECTION GOVERNING CHARTER

 

SECTION NAME AND PURPOSE
The IRELAND Section of the Society of Petroleum Engineers was established on 30th of July 2014. The purpose of this section shall be to further the mission and vision of the Society by providing regular meetings for the discussion of subjects relating to the oil and gas industry.

 

JURISDICTION
The jurisdiction of this section, as approved by the SPE Board of Directors will encompass the country of IRELAND, until such time the territory is released for the establishment of additional sections.

 

MEMBERSHIP
SPE members who have selected the Ireland Section shall be official members of the section. We will welcome and accommodate any SPE member visiting our area. We shall seek to grow our membership to more widely serve the industry in our area.

 

OFFICERS
The board of directors for the section shall be comprised of all elected officers. All officers must be members of SPE at the time of election and remain as such throughout their term. The minimum officer positions shall consist of a chairperson, program chairperson, membership chairperson, secretary, and treasurer. Additional positions may be created as determined by the board. The chairperson can appoint a member to fill any vacancy in office that occurs between annual elections. All officers will be elected annually by the previous outgoing board. There is no limit on the number of consecutive re-elections a board member may have. However, to encourage refreshment of the board personnel over time the board is encouraged to find interested members who may wish to serve on the board. Additionally, the chairperson should not remain in the same officer position on the board for more than 2 consecutive years, whilst the remaining officer positions should rotate personnel at least every 5 years.

 

DUTIES OF OFFICERS
The chairperson shall preside at all meetings of the section and the board of directors meetings. He/she shall appoint all committees and perform all other duties that pertain to the direction of the section, including submitting the section annual report and financial statement.
The program chairperson shall be responsible for the arrangement of programs and meetings. In the absence of the chairperson, he/she shall serve as chairperson.
The membership chairperson shall be responsible for membership activities, focusing on recruitment and retention.
The secretary shall record the proceedings of the meetings of the board of directors. He/she shall maintain the bylaws. All changes to the bylaws will require a vote of the governing body.
The treasurer shall receive and disburse all money received by the section, with the approval of the board of directors. The treasurer shall submit records for an annual audit by a committee to be named by the chairperson.
The board of directors will meet at least once a quarter through the year with any exceptions noted.

 

DISPOSAL OF FUNDS ON DISSOLUTION
If, at any time, the section is disestablished, the section officers, if any exist, will allocate funds to existing commitments. Remaining funds will be redirected to SPEI.
